Welcome to Visual Momentum Design Studio. We build brands with speed, precision, and purpose. These Terms & Conditions outline the agreement between you (the "Client") and us (the "Studio") to ensure a transparent, professional, and high-energy partnership.
By submitting a project inquiry or paying a deposit, you agree to be bound by these terms.
1. Definitions
- "The Studio" refers to Visual Momentum Design Studio, located in Bolton, UK.
- "The Client" refers to the person or entity requesting the services.
- "The Project" refers to the specific design work (e.g., Logo Design, Brand Identity) outlined in the agreed proposal or invoice.
- "Deliverables" refers to the final visual assets (JPG, PNG, Vector files) to be handed over at the end of the project.
2. The Contract
- 2.1 Formation: A binding contract is formed when the Client pays the initial 50% deposit.
- 2.2 Scope: The scope of the Project is defined in our initial email correspondence or proposal following your Strategy Session. Any work requested outside this scope (e.g., extra pages, additional revisions beyond the agreed limit) will be charged separately at our standard hourly rate.
3. Fees & "Momentum" Payments
Our payment structure is designed for speed and security.
- 3.1 Deposit (The Ignition): A non-refundable 50% deposit is required to secure your slot on our design schedule. Work will not commence until this clears.
- 3.2 Final Balance (The Launch): The remaining 50% balance is due upon approval of the final design.
- 3.3 No Pay, No Play: Final high-resolution files and copyright transfer will only be released once the full balance has been settled.
- 3.4 Late Payments: Invoices are due upon receipt. We reserve the right to pause all work or withhold deliverables if payments are not made within 14 days of the invoice date.
4. The Design Process
- 4.1 Concepts: We will provide initial concepts within the timeframe agreed upon (typically 3-5 business days).
- 4.2 Revisions: Your package includes a set number of revision rounds (as specified in your package). A "revision" is a tweak to an existing concept (e.g., color change, font adjustment), not a completely new design direction.
- 4.3 Approvals: The Client agrees to provide feedback in a timely manner (ideally within 48 hours) to maintain project momentum.
5. Intellectual Property (Copyright)
- 5.1 Ownership: Upon full payment of the final invoice, 100% of the copyright for the approved final design is automatically transferred to the Client. You own your brand.
- 5.2 Studio Rights: The Studio retains the right to use the completed project in our portfolio, website, and social media for promotional purposes.
- 5.3 Rejected Concepts: Any concepts or drafts that were not chosen by the Client remain the intellectual property of the Studio and may not be used by the Client.
6. Cancellations & "Kill Fees"
- 6.1 Client Cancellation: If the Client cancels the project after the design phase has begun, the initial 50% deposit is non-refundable as it covers the time and resources already allocated.
- 6.2 Mid-Project Cancellation: If the Client cancels after receiving initial concepts but before completion, the Studio reserves the right to charge for all work completed up to that point.
- 6.3 Studio Cancellation: In the unlikely event that we must cancel the project due to unforeseen circumstances, a full refund of the deposit will be issued.
7. Liability
- 7.1 Proofing: While we take every care to ensure accuracy, it is the Client’s responsibility to proofread all final designs (spelling, phone numbers, addresses) before they go to print or live on the web. The Studio is not liable for costs incurred (e.g., re-printing) due to errors not spotted during the approval stage.
- 7.2 Third-Party Issues: We are not responsible for delays or errors caused by third parties, such as printers, hosting providers, or web developers.
8. Confidentiality
Both parties agree to keep all confidential information (business strategies, trade secrets, login details) shared during the Strategy Session and Design Phase private and secure.
9. Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of England.
